These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ola Mate LLC, a New York limited liability company ("Ola Mate," "Company," "we," "us," or "our"), governing your access to and use of the website located at www.olamate.com (the "Website") and all products, content, features, and services made available through the Website (collectively, the "Services").

BY ACCESSING OR USING THE WEBSITE, PLACING AN ORDER, OR USING ANY OF OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES INCORPORATED HEREIN BY REFERENCE, INCLUDING OUR PRIVACY POLICY, REFUND POLICY, AND SUBSCRIPTION POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE WEBSITE AND SERVICES.

If you create an account on our Website, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@olamate.com of any unauthorized use of your account. Ola Mate reserves the right to suspend or terminate any account at its sole discretion, with or without cause.

3. PRODUCTS, ORDERS, AND PURCHASES

All product descriptions, images, and pricing information are provided in good faith; however, we reserve the right to correct errors, inaccuracies, or omissions, and to change or update information at any time without prior notice. We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear to contain pricing errors.

Order Acceptance. Your placement of an order on our Website constitutes an offer to purchase. An order is not deemed accepted until you receive a confirmation email from us. We reserve the right to limit quantities of any product, refuse service to any customer, and cancel orders in cases of suspected fraud, abuse, or violation of these Terms.

Pricing and Availability. Prices for all products are subject to change without notice. All prices are displayed in United States Dollars (USD) and are exclusive of applicable taxes and shipping fees unless otherwise stated. Product availability is not guaranteed, and we reserve the right to discontinue any product at any time.

Prohibited Reselling. Ola Mate products are intended for personal use only. Unauthorized resale, distribution, or commercial exploitation of our products whether through third-party marketplaces, social media platforms, or otherwise is strictly prohibited. We reserve the right to limit, cancel, or refuse orders that we reasonably believe are intended for unauthorized resale or distribution. Violation of this provision will result in immediate account termination and may subject the violating party to legal action.

4. HEALTH, SAFETY, AND PRODUCT DISCLAIMERS

Our products contain yerba mate, caffeine, and adaptogenic ingredients including ashwagandha and lion's mane mushroom. By purchasing and consuming our products, you acknowledge and agree to the following:

  • Our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

  • The statements made on our Website regarding our products have not been evaluated by the U.S. Food and Drug Administration (FDA).

  • Our products contain caffeine. Individuals who are pregnant, nursing, under the age of 18, sensitive to caffeine, or who have any pre-existing medical condition (including but not limited to cardiovascular conditions, anxiety disorders, or hypertension) should consult with a qualified healthcare professional before consuming our products.

  • Adaptogenic ingredients, including ashwagandha and lion's mane mushroom, may interact with certain medications. Please consult a healthcare professional if you are currently taking prescription medications.

  • You assume all risks associated with the consumption of our products.

All content on the Website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Ola Mate LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our Website without the prior written consent of Ola Mate LLC.

The Ola Mate name, logo, and all related product names, designs, and slogans are trademarks of Ola Mate LLC. You may not use such marks without the prior written permission of Ola Mate LLC.

6. PROHIBITED CONDUCT

You agree not to use the Website or Services for any purpose that is unlawful or prohibited by these Terms. Specifically, you agree not to:

  • Use the Website in any manner that could disable, overburden, damage, or impair the Website or interfere with any other party's use of the Website;

  • Use any robot, spider, scraper, or other automated means to access the Website for any purpose without our express written permission;

  • Attempt to gain unauthorized access to any portion of the Website, or any systems or networks connected to the Website, through hacking, password mining, or any other illegitimate means;

  • Transmit or upload any viruses, malware, or other malicious or destructive code;

  • Use the Website or Services to transmit any harassing, abusive, defamatory, obscene, or otherwise objectionable content;

7. SMS AND MOBILE MESSAGING TERMS

Ola Mate LLC operates a mobile messaging service ("SMS Service") that allows us to communicate with you regarding your orders, account activity, and promotional offers via text message.

Opt-In and Consent. By providing your mobile phone number and opting into our SMS Service at checkout or via a sign-up form, you expressly consent to receive recurring automated marketing and transactional text messages from Ola Mate at the mobile number provided, including but not limited to order confirmations, shipping notifications, and promotional offers. You understand that consent to receive marketing messages is not a condition of any purchase.

Message Frequency. Message frequency may vary. You may receive multiple messages per week depending on your account activity and promotional campaigns.

Rates. Standard message and data rates may apply. Contact your wireless carrier for details.

Opt-Out. You may opt out of the SMS Service at any time by texting STOP to +1 (833) 385-8730 or by emailing support@olamate.com. After texting STOP, you will receive a one-time confirmation message. No further messages will be sent unless you re-opt in.

Data Privacy. Your SMS opt-in data and consent will not be shared with any third parties for their marketing purposes. We only share this data with service providers necessary to deliver messages (e.g., Klaviyo).

8. SUBSCRIPTIONS AND RECURRING BILLING

Ola Mate offers a "Subscribe & Save" program that provides customers with recurring deliveries of our products at a discounted rate. By enrolling in a subscription, you authorize Ola Mate to charge your payment method on a recurring basis at the frequency selected during checkout.

Full terms governing subscriptions, including cancellation procedures, billing schedules, and price change notifications, are set forth in our Subscription Policy, which is incorporated herein by reference. In the event of any conflict between these Terms and the Subscription Policy, the Subscription Policy shall govern with respect to subscription-specific matters.

9. DISCLAIMER OF WARRANTIES

THE WEBSITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

OLA MATE LLC DOES NOT WARRANT THAT (A) THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (B) THE RESULTS OBTAINED FROM USE OF THE WEBSITE WILL BE ACCURATE OR RELIABLE; OR (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIALS PURCHASED OR OBTAINED THROUGH THE WEBSITE WILL MEET YOUR EXPECTATIONS.

10. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE NEW YORK LAW, IN NO EVENT SHALL OLA MATE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE, SERVICES, OR PRODUCTS, EVEN IF OLA MATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF OLA MATE LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO OLA MATE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Ola Mate LLC and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to (a) your violation of these Terms; (b) your use of the Website or Services; (c) your violation of any applicable laws or regulations; or (d) your infringement of any third-party rights.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or your use of the Website and Services shall be instituted exclusively in the state or federal courts located in Nassau County, New York, and you hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such action or proceeding in Nassau County, New York.

BEFORE INITIATING ANY FORMAL LEGAL PROCEEDINGS, YOU AGREE TO FIRST CONTACT US AT SUPPORT@OLAMATE.COM AND ATTEMPT TO RESOLVE ANY DISPUTE INFORMALLY FOR A PERIOD OF THIRTY (30) DAYS.

The Website may contain links to third-party websites or services that are not owned or controlled by Ola Mate LLC. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and privacy policy of any third-party website you visit.

Your use of the Website is also governed by our Privacy Policy, which is incorporated herein by reference. 15. SEVERABILITY AND WAIVER

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, the remaining provisions shall continue in full force and effect. No waiver by Ola Mate of any breach of these Terms shall be deemed a waiver of any subsequent breach, and failure to enforce any provision shall not constitute a waiver of such provision.

16. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Refund Policy, and Subscription Policy, constitute the entire agreement between you and Ola Mate LLC with respect to your use of the Website and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the same subject matter.
